Terms and Conditions

Welcome to Yayando. These Terms and Conditions ("Terms") govern your use of the Yayando website (yayando.com) and the Yayando app (together, the "Service"), operated by IG Next e.U. ("Yayando", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. About Yayando

Yayando is a discovery platform that helps families find activities, events, places and providers ("Providers") for children and families and — where offered — to save favourites, contact Providers, make bookings or inquiries, collect loyalty rewards, and share community content. Yayando is an intermediary: we present information and connect you with Providers. We are not the organiser or provider of the activities listed, unless expressly stated.

2. Who may use the Service

You must be able to enter into a binding contract to use the Service. If you are under the age of majority, you may use the Service only with the involvement of a parent or guardian. The Service is intended for parents, guardians and other adults; it is not directed at children.

3. Your account

Some features require an account. You agree to provide accurate information, to keep your login credentials confidential, and you are responsible for activity under your account. Please notify us promptly of any unauthorised use. You may close your account at any time.

4. Bookings and inquiries

When you book an activity or send an inquiry through the Service, any resulting contract for the activity is concluded directly between you and the Provider. Yayando is not a party to that contract. Providers are responsible for their listings, availability, prices, the activities themselves, and their own terms — including cancellation and refund conditions. Please review the Provider's terms before booking. We are not liable for a Provider's acts or omissions, or for the quality or safety of their activities.

5. Loyalty and points

Where loyalty features are available, points, stamps and rewards have no cash value, are personal to you, and cannot be sold or transferred. We may change, limit or discontinue loyalty features, and we may void points obtained through error or abuse.

6. Your content

You may be able to submit content such as photos, reviews and messages ("User Content"). You keep your rights in your User Content, but you grant us a non-exclusive, worldwide, royalty-free licence to host, store, display and use it for the purpose of operating and promoting the Service. You are responsible for your User Content and confirm that you have the necessary rights to it, that it is accurate, and that it does not infringe anyone's rights. Where your content shows other people (including children), you confirm you are entitled to share it. We may review, moderate, refuse or remove User Content, and we may remove content that breaches these Terms or the law.

7. Acceptable use

You agree not to: break the law or infringe others' rights; upload harmful, misleading, offensive or illegal content; harass or endanger others; misrepresent your identity or a business; scrape, copy or harvest data from the Service; interfere with its security or operation; or use it for unauthorised commercial purposes. Business listings must be accurate and may only be claimed by someone authorised to represent the business.

8. Business (partner) accounts and paid plans

If you use the Service as a business — for example to manage a listing or subscribe to a paid plan — additional conditions apply. Paid plans are billed through our payment processor (Stripe) on the cycle shown at purchase and, unless cancelled, renew automatically for the same period. You can cancel renewal at any time with effect from the end of the current period. Prices are shown exclusive or inclusive of VAT as indicated at checkout. Business use is a business-to-business relationship; statutory consumer-withdrawal rights do not apply.

9. Intellectual property

The Service, including its software, design, text and branding, is owned by us or our licensors and is protected by law. We grant you a limited, personal, non-transferable and revocable licence to use the Service for its intended purpose. You may not copy, modify, distribute or create derivative works from the Service except as permitted by law.

10. Third-party content and links

The Service contains information supplied by Providers and links to third-party sites we do not control. We strive to keep listings accurate but cannot guarantee they are complete or up to date, and we are not responsible for third-party content or websites.

11. Availability and changes

We aim to keep the Service available but do not guarantee that it will be uninterrupted or error-free. We may add, change or remove features, and may suspend or discontinue the Service, at any time.

12. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we make no warranties about the Service or about the accuracy, availability, quality or safety of Providers, listings or activities. Nothing in these Terms excludes rights you have as a consumer that cannot be excluded under mandatory law.

13. Limitation of liability

To the extent permitted by law, we are liable only for damage caused intentionally or by gross negligence. We are not liable for slight negligence, except in the case of personal injury or where mandatory law provides otherwise. In particular, we are not liable for the activities, services or conduct of Providers. This does not affect mandatory statutory consumer rights.

14. Indemnity (business users)

If you use the Service as a business, you agree to indemnify us against third-party claims arising from your listings, your content, or your breach of these Terms, to the extent you are responsible.

15. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or the law, or where necessary to protect the Service or other users. Provisions that by their nature should survive termination (such as intellectual property, disclaimers and limitation of liability) continue to apply.

16. Consumer dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

17. Governing law and jurisdiction

These Terms are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you also enjoy the mandatory protections of the law of your country of residence, and this choice of law does not deprive you of them. For businesses, the exclusive place of jurisdiction is Vienna, Austria.

18. Changes to these Terms

We may update these Terms as the Service or the law changes. We will make the current version available here with an updated date and, where required, notify you of significant changes. Your continued use after changes take effect means you accept them; where your consent is legally required, we will obtain it.

19. Severability

If any provision of these Terms is or becomes invalid, the remaining provisions stay in effect, and the invalid provision will be replaced by a valid one that comes closest to its purpose.
